Terms and Conditions for ReignTech Bookkeeping LLC

Effective Date: July 12, 2025

 

By engaging the services of ReignTech Bookkeeping LLC ("ReignTech," "we," "us," or "our"), a limited liability company based in Alabama providing online bookkeeping services, you ("Client" or "you") agree to be bound by the following Terms and Conditions ("Terms"). These Terms govern the provision of bookkeeping services and your use of our website and related online platforms. Please read these Terms carefully. Continued use of our services or website constitutes your acceptance of these Terms.

1. Scope of Services

 

ReignTech Bookkeeping LLC provides online bookkeeping services, including but not limited to financial recordkeeping, account reconciliation, financial reporting, payroll processing, and QuickBooks Online setup and management, as specified in a separate Letter of Engagement or service agreement signed by both parties. Services are provided remotely via secure online platforms, and no in-person services are offered. The specific scope of services, deliverables, and timelines will be outlined in the Letter of Engagement, which forms part of these Terms.

 

ReignTech will provide services with reasonable care and skill in accordance with industry standards. However, we reserve the right to decline services if they fall outside our expertise or qualifications, or if a conflict of interest arises, subject to professional rules.

2. Client Responsibilities

 

The Client agrees to:

  • Provide accurate, complete, and timely financial information, including access to necessary accounting systems and documentation, to enable ReignTech to perform the agreed-upon services.

  • Ensure the accuracy of all financial records provided to ReignTech. ReignTech is not responsible for errors, omissions, or liabilities arising from inaccurate or incomplete information provided by the Client.

  • Promptly respond to requests for information or approvals to avoid delays in service delivery.

3. Independent Contractor Status

 

ReignTech Bookkeeping LLC is an independent contractor and not an employee, agent, or partner of the Client. ReignTech is solely responsible for its own taxes, insurance, and compliance with applicable laws. The Client will not provide employee benefits, such as health insurance or paid leave, to ReignTech or its personnel.

4. Fees and Payment Terms

 

  • Fees: Fees for services will be detailed in the Letter of Engagement. Fees may be charged on an hourly basis, a fixed fee, or a monthly retainer, as agreed.

  • Invoicing: ReignTech will provide itemized invoices every 30 days or as specified in the Letter of Engagement. Invoices are due upon receipt unless otherwise agreed in writing.

  • Payment: Payments must be made via electronic methods (e.g., ACH, credit card, or other approved online payment platforms) within 15 days of invoice receipt. Late payments may incur a late fee of 1.5% per month on the outstanding balance, or the maximum allowed by Alabama law, whichever is lower.

  • Retainers: For new clients or specific projects, ReignTech may require a retainer, payable in advance, as outlined in the Letter of Engagement.

  • Expenses: Any additional expenses (e.g., software subscriptions required for Client’s account) must be approved in writing by the Client prior to incurring costs.

5. Confidentiality

 

ReignTech will treat all Client financial and personal information as confidential and will not disclose it to third parties without the Client’s prior written consent, except as required by law (e.g., regulatory disclosures or legal proceedings). ReignTech uses secure online platforms and encryption to protect Client data but cannot guarantee absolute security due to the nature of online services. The Client acknowledges this risk and agrees to hold ReignTech harmless for data breaches not caused by ReignTech’s gross negligence or willful misconduct.

6. Intellectual Property

 

Any tools, templates, spreadsheets, or processes developed by ReignTech during the provision of services remain the intellectual property of ReignTech. The Client is granted a non-exclusive, non-transferable license to use such deliverables solely for their internal business purposes during the term of the agreement. Upon termination, the Client’s right to use such intellectual property ceases, unless otherwise agreed in writing.

7. Limitation of Liability

 

To the maximum extent permitted by Alabama law, ReignTech Bookkeeping LLC and its agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the provision of services or use of our website, even if advised of the possibility of such damages. ReignTech’s total liability for any claim arising under these Terms shall not exceed the fees paid by the Client to ReignTech in the six months preceding the event giving rise to the claim.

Services and deliverables are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose. ReignTech does not provide tax filing, legal advice, or auditing services unless explicitly stated in the Letter of Engagement.

8. Indemnification

 

The Client agrees to indemnify and hold harmless ReignTech, its officers, employees, and agents from any claims, losses, or liabilities arising from the Client’s breach of these Terms, provision of inaccurate financial information, or violation of applicable laws, except in cases of ReignTech’s gross negligence or willful misconduct.

9. Termination

 

  • By Either Party: Either party may terminate the agreement by providing 30 days’ written notice via email or certified mail to the other party.

  • By ReignTech: ReignTech may terminate the agreement immediately if the Client fails to make payments within 30 days of the due date or breaches any material term of this agreement.

  • Upon Termination: The Client shall pay all outstanding invoices for services rendered up to the termination date. Any retainers will be applied to outstanding balances, with any excess refunded to the Client.

10. Dispute Resolution

 

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Montgomery, Alabama, or via an online arbitration platform if agreed by both parties. The arbitration will be conducted on an individual basis; class actions or class arbitrations are not permitted. The prevailing party shall be entitled to reasonable attorney’s fees and costs, as permitted by Alabama law.

 

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of laws principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Montgomery, Alabama.

11. Website and Online Platform Usage

 

  • Access: The Client may access ReignTech’s website and online platforms (e.g., client portals) solely for purposes related to the bookkeeping services. Unauthorized use, including attempts to access restricted areas or disrupt platform functionality, is prohibited.

  • Content: All content on ReignTech’s website, including text, graphics, and software, is the property of ReignTech or its licensors and is protected by U.S. copyright and intellectual property laws. Clients may not reproduce, modify, or distribute such content without express written permission.

  • Cookies and Privacy: By using our website, you consent to our use of cookies in accordance with our Privacy Policy, available at www.reigntech.co. The Privacy Policy details how we collect, use, and protect your personal information.

12. Changes to Terms

 

ReignTech reserves the right to modify these Terms at its sole discretion. The most current version of the Terms will be posted on our website and effective upon posting. Continued use of our services or website after changes constitutes acceptance of the updated Terms. Clients are encouraged to review the Terms periodically.

13. Notices

 

All notices under these Terms must be in writing and delivered via email to info@reigntech.co for ReignTech, or to the Client’s email address provided in the Letter of Engagement. Notices are deemed received 24 hours after being sent, unless otherwise specified.

14. General Provisions

 

  • Entire Agreement: These Terms, together with the Letter of Engagement, constitute the entire agreement between ReignTech and the Client, superseding all prior agreements or understandings.

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

  • No Waiver: Failure by ReignTech to enforce any provision of these Terms shall not constitute a waiver of that provision.

  • Assignment: The Client may not assign its rights or obligations under these Terms without ReignTech’s prior written consent. ReignTech may assign its rights to a successor entity with notice to the Client.

  • No Third-Party Rights: These Terms do not confer any rights or benefits to third parties.
